2. Scope and acceptance

These Terms of Use govern your access to and use of the website, including any documents, data sheets, case studies, use cases, white papers and other materials you view or download from it ("content"). By using the website you accept these Terms. If you do not accept them, please do not use the website.

‍

These Terms do not govern the sale or supply of any product or service. Any purchase, pilot, evaluation, partnership or other commercial relationship with EH is governed only by a separate written agreement.

‍

How we handle personal data collected through the website, including through forms and cookies, is described in our Privacy Policy. They are information notices and do not form part of these Terms.

3. Information only; no offer

The website provides general information about EH, its fuel cell stacks, systems, containers, power plant configurations and related services. Nothing on the website is an offer, a binding quotation, a commitment to supply, or an invitation to enter into a contract, and nothing on it is an offer to sell or a solicitation of an offer to buy any shares or other securities of EH or of any company in its group.

‍

Technical data, specifications, performance figures, efficiencies, dimensions, ratings, certifications, availability and delivery indications shown on the website or in downloadable documents are indicative and are provided for general information. They describe typical or target values under the conditions stated in the document concerned, may relate to a particular configuration or stage of development, and may be changed, withdrawn or superseded without notice. They do not constitute a warranty, a guarantee of performance or a specification for any supply. The specifications that apply to any product are exclusively those set out in the written agreement for that product.

‍

Some statements on the website and in its documents concern plans, targets, product development, certification, deployment timelines, capacity, partnerships or market developments. They reflect EH's expectations at the time of publication, involve risks and uncertainties, and may not be achieved or may change. EH has no obligation to update them.

4. Accuracy and availability

We take reasonable care to keep the website accurate and current. We do not warrant, expressly or impliedly, that the website or its content is complete, correct, current, uninterrupted, error-free, secure or free of viruses or other harmful components, or that it will meet your requirements. You are responsible for verifying, before relying on it, that any information on the website is suitable for your purpose, and for using up-to-date protective software.

‍

We may change, suspend or discontinue any part of the website at any time without notice.

5. Intellectual property

The website and its content, including text, technical documents, data, images, photographs, illustrations, renderings, video, graphics, page design, software, product names, the EH and EH Energy names and logos, EH's company name, and EH's other trademarks, service marks and trade names displayed on the website, belong to EH or to its licensors (third-party names and logos are covered at the end of this section) and are protected by copyright, trademark, design and other intellectual property laws in Switzerland and elsewhere. Nothing on the website grants you any license or right in them except as stated in section 6.

‍

Photographs and other imagery on the website include material licensed to EH by third parties, including images licensed from Unsplash under the Unsplash+ License. Such material is used under license and may not be copied, downloaded, extracted or reused separately from the website or from the documents in which it appears.

‍

EH reserves all rights in the content against text and data mining and against use for training, fine-tuning or evaluating artificial intelligence models, including within the meaning of Article 4(3) of Directive (EU) 2019/790.

‍

Names, logos and trademarks of partners, customers, suppliers and other third parties displayed on the website belong to their respective owners and are shown for identification only; their display does not imply any endorsement of EH by them or of them by EH beyond what is expressly stated.

6. What you may do with the content

You may view the website and print or download pages and the documents we make available for download, for your own personal information or for the internal business purposes of your organization, provided that you keep all copyright, trademark, version and date notices intact, that you do not modify the material, and that you do not present it as your own or as current after a newer version has been published. You may pass a downloaded document to colleagues within your organization, or to advisers acting for it, for those same purposes.

‍

Any other use requires our prior written permission. In particular you may not, without it: reproduce, republish, post, distribute, publicly display or commercially exploit the content; use it in any product, service, publication or marketing material; use any EH name, logo or trademark; or remove or alter any notice on it. Requests for permission, including press and publication requests, can be sent to press@eh.energy.

‍

Where we mark content with a more specific license or notice (for example a press release or a media kit), that notice governs.

7. Acceptable use

You may use the website only for lawful purposes. You must not: (a) interfere with, disrupt or attempt to gain unauthorized access to the website, the servers or networks that host it, or any account or data; (b) probe, scan or test its vulnerability or breach any security or authentication measure, except through a responsible disclosure to security@eh.energy; (c) use robots, crawlers, scrapers or other automated tools to access, copy or extract content in bulk, except for search engines that respect our robots.txt instructions; (d) use the website or its content, including its images and documents, to train, fine-tune or evaluate machine learning or artificial intelligence models, or compile it into a dataset for those purposes; (e) transmit malicious code, spam, or unlawful, misleading, infringing or abusive material through any form on the website; (f) impersonate any person or misrepresent your affiliation; or (g) frame or mirror the website, or link to it in a way that suggests endorsement or association that does not exist.

‍

We may suspend or block access to the website, without notice, where we reasonably believe these Terms are being breached.

8. Forms and information you send us

When you use a form on the website, you confirm that the information you give is accurate and that you are entitled to give it. Please do not send confidential information, trade secrets or unsolicited proposals through the website. We do not accept any duty of confidentiality for business information received through a website form, but we protect the personal data in it as described in our Privacy Policy. If you have a confidentiality need, contact us first so that an appropriate agreement can be put in place.

‍

Applications for positions with EH are submitted through the careers section of the website, which is provided by a third-party recruiting platform acting on our behalf. Our Privacy Policy explains how application data is handled.

9. Links and third-party services

The website may contain links to third-party websites and may embed content or services provided by third parties, such as video players, maps or the careers platform. We have no control over third-party websites and are not responsible for their content, availability, security or data practices. For services embedded in the website, we decide what is loaded and when, as described in our Privacy Policy; the third party's own terms and privacy policy govern what it does with the data it receives. A link or embedded service does not mean that we endorse the third party.

10. Limitation of liability

To the extent permitted by law, EH, its group companies and their directors, officers, employees and agents exclude all liability for any loss or damage of any kind, whether direct, indirect, incidental or consequential, including loss of profit, revenue, data or business opportunity, arising out of or in connection with your access to or use of the website or its content, your reliance on any information on it, or any interruption or unavailability of the website. The same applies to loss or damage caused by a virus or other harmful component, provided that we have taken reasonable security precautions.

‍

Nothing in these Terms excludes or limits liability for unlawful intent or gross negligence, for personal injury or death, or any other liability that cannot be excluded or limited under applicable law, including under Article 100 of the Swiss Code of Obligations.

11. Changes to these Terms

We may amend these Terms at any time by publishing a new version on this page with a new version number and date. The version in force is the one published at the time you use the website. Material changes will be noted in the change log below. If you continue to use the website after a change, the amended Terms apply.

12. Governing law and jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or with the website, are governed by the substantive laws of Switzerland, excluding its conflict-of-law rules. The courts at the registered office of EH Group Engineering AG in Nyon, Switzerland, have exclusive jurisdiction, subject to any mandatory place of jurisdiction under applicable law. If you use the website as a consumer, this choice of law does not deprive you of the protection of mandatory provisions of the law of your habitual residence, where that law applies.

13. General

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in force and the invalid provision is replaced by a valid one that comes closest to its purpose. Our failure to enforce a provision is not a waiver of it. These Terms are written in English; if a translation is provided, the English version prevails. We may assign or transfer our rights and obligations under these Terms to a company in our group or to a successor to our business without your consent; we will announce any change of operator on this page.

14. Contact

Questions about these Terms can be sent to legal@eh.energy or by post to EH Group Engineering AG, Chemin de la Vuarpillière 27, 1260 Nyon, Switzerland.
